These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User,” “Learner,” or “Customer”) and Huntsville Behavior Associates (“HBA,” “we,” “our,” or “us”) governing the purchase, access, and use of continuing education courses (“Courses”) delivered through the LearnWorlds learning management system (“Platform”).
By purchasing, enrolling in, accessing, or participating in any Course, you acknowledge that you have read, understood, and agree to be bound by these Terms.
Courses offered by HBA are intended solely for adult learners. You must be at least eighteen (18) years of age to purchase, enroll in, or access any Course. By enrolling, you represent and warrant that you meet this age requirement, have the legal capacity to enter into binding agreements, and are enrolling for your own professional education. HBA does not knowingly permit minors to access CEU coursework, and any enrollment found to be in violation of this requirement may be terminated without refund.
HBA is the official CEU provider and is solely responsible for course content, instructional quality, compliance with applicable continuing education standards, and issuance of CEU certificates. LearnWorlds functions only as the third-party hosting platform that provides the technical infrastructure for course delivery, user accounts, and payment processing. LearnWorlds does not approve, certify, endorse, or evaluate CEUs and bears no responsibility for course content or certification decisions. Nothing in these Terms creates a partnership, agency, employment, or joint venture relationship among the parties.
Upon enrollment, course access is granted exclusively to the individual purchaser. Access may be lifetime or time-limited, as specified at the time of purchase. You agree not to share login credentials, allow another individual to complete coursework on your behalf, or otherwise permit unauthorized access. HBA reserves the right to monitor course activity for compliance with these Terms and may suspend or terminate access if misuse, credential sharing, or other violations are identified.
All Course materials, including but not limited to videos, slide decks, written content, graphics, assessments, evaluations, downloadable resources, audio recordings, and transcripts, are the intellectual property of HBA or its licensors and are protected under U.S. and international intellectual property laws. Purchase of a Course grants you a limited, non-exclusive, non-transferable license to access and use the materials for personal educational purposes only. You may not copy, reproduce, distribute, publish, sell, sublicense, upload, share, modify, or create derivative works from any Course materials without prior written permission from HBA. Unauthorized use may result in immediate termination of access without refund and may subject the user to legal action.
All Course prices are displayed at the time of purchase and are listed in U.S. dollars unless otherwise stated. Pricing may vary by Course and may be modified at any time; however, the price charged will be the price in effect when the order is submitted. Promotional pricing, discounts, or coupon codes are offered at the sole discretion of HBA, may be subject to expiration or additional conditions, and cannot be applied retroactively to previous purchases.
By submitting payment information, you authorize HBA, through the LearnWorlds platform and its authorized third-party payment processors, to charge the full course fee to your selected payment method. You represent and warrant that you are the authorized user of the payment method provided, that the information is accurate and current, and that sufficient funds or credit are available. If payment authorization fails, is reversed, or is later disputed, HBA reserves the right to suspend or terminate course access and withhold or invalidate CEU certificates.
All payments are processed securely through LearnWorlds and its integrated payment processors. HBA does not collect, store, or maintain direct access to your full credit card or banking information. Payment processing services may be subject to additional terms, conditions, or privacy policies established by third-party processors, and HBA is not responsible for errors or interruptions attributable to those services. Applicable sales tax, value-added tax, or other governmental charges may be assessed where required by law and will be clearly displayed prior to purchase completion. You are solely responsible for any taxes, foreign transaction fees, or currency conversion charges imposed by your financial institution or jurisdiction. If a Course is offered through a subscription model or installment payment plan, the applicable billing schedule and terms will be disclosed at enrollment. By selecting such an option, you authorize recurring charges in accordance with the stated terms. Failure to complete required payments may result in suspension of access, loss of progress, or ineligibility to earn CEUs.
All sales are final. Because access to digital content is granted immediately upon purchase, refunds will not be issued except as expressly stated in these Terms. Requests for refunds based on time constraints, failure to complete coursework, or licensing board decisions will not be granted. In the event of a pricing error due to a technical or typographical issue, HBA reserves the right to cancel the affected order, correct the error, and refund any amount charged. Upon successful payment, you will receive an electronic receipt, and it is your responsibility to retain payment records for professional or tax purposes.
CEU certificates are issued only after all required course components have been completed, including instructional modules, assessments, and evaluations, as applicable. Certificates are provided electronically and reflect the course title, completion date, and number of CEUs earned. It is the learner’s responsibility to verify that a Course meets the requirements of their specific licensing board or employer and to maintain personal records of certificates. HBA does not guarantee acceptance of CEUs by third-party credentialing bodies.
Users agree to use the Platform and Courses in a lawful, professional, and ethical manner. Prohibited conduct includes attempting to bypass course requirements, falsifying completion, interfering with platform functionality, sharing credentials, or engaging in harassment or inappropriate behavior. Violations may result in suspension or permanent termination of access without refund.
Courses are provided on an “as is” and “as available” basis. HBA makes no warranties regarding professional outcomes, employment opportunities, salary increases, licensure decisions, or clinical performance results. Course content is intended for professional development and does not replace independent professional judgment or supervision.
To the fullest extent permitted by applicable law, Huntsville Behavior Associates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your access to, use of, or inability to use the Courses, the Platform, or any Course materials, even if Huntsville Behavior Associates has been advised of the possibility of such damages. This limitation includes, but is not limited to, damages for loss of revenue, loss of income, loss of business opportunities, loss of professional standing, loss of data, interruption of business activities, or costs incurred in obtaining substitute educational services.
Huntsville Behavior Associates shall not be responsible for any damages, losses, or claims resulting from technical failures, interruptions, delays, errors, or security breaches associated with the LearnWorlds platform or any third-party services used in connection with Course delivery, payment processing, or certificate issuance. While reasonable efforts are made to ensure reliable access and accurate content delivery, HBA does not guarantee uninterrupted or error-free operation of the Platform.
Huntsville Behavior Associates does not assume responsibility for decisions made by licensing boards, certifying bodies, employers, or regulatory agencies regarding the acceptance, recognition, or application of CEUs earned through its Courses. Any reliance on Course content, CEU certificates, or representations of completion is undertaken at the learner’s own risk. HBA shall not be liable for any adverse professional, licensure, employment, or credentialing outcomes resulting from participation in a Course.
To the maximum extent permitted by law, the total cumulative liability of Huntsville Behavior Associates for any claim, whether based in contract, tort, negligence, strict liability, or otherwise, shall not exceed the total amount paid by the learner for the specific Course giving rise to the claim. This limitation applies regardless of the form of action or theory of liability asserted.
Some jurisdictions do not allow the exclusion or limitation of certain types of damages. In such jurisdictions, Huntsville Behavior Associates’ liability shall be limited to the greatest extent permitted by applicable law.
HBA reserves the right to update or modify these Terms at any time. Changes become effective upon posting to the Platform, and continued use of Courses constitutes acceptance of the revised Terms.
These Terms are governed by and construed in accordance with the laws of the State of Alabama, without regard to conflict-of-law principles.
